I/We understand and agree that Exitus NZ and the Signer will furnish certain information to each other that must be treated as confidential. To ensure this information is protected and the confidentiality required by relevant property rights laws is maintained, the following is agreed –

i. The confidential information may include: ideas, trade secrets, financial information, financial forecasts, patentable ideas, customer lists and targets, strategic and business plans, potential business opportunities. All such information shall be treated as confidential, whether specifically referred to as such or not.

ii. The Signer agrees not to disclose any information received from each other to third parties unless required to do so by law (other than those parties specifically referred to in this document).

iii. To appropriately examine the information supplied, the Signer has the right to share information specifically relevant to this agreement with their nominated business advisers.

   

iv. This Agreement is binding on both parties and can only be altered by written agreement signed by both parties.

v. If any part of this Agreement is unenforceable, the rest of the Agreement will be enforced and the unenforceable section shall be modified to the extent required to make the entire Agreement enforceable.

   

vi. The Signer agrees to direct any questions or requests for information concerning the operation of the Vendor’s business through their appointed sales advisor and not directly to the Vendor without the prior knowledge or consent of the sales advisor. Any actual or attempted circumvention or unauthorised disclosure by the Signer may invoke financial penalties.

The parties acknowledge that they have read and understand the Agreement and commit to honouring it in fact and in spirit.
